# Pass a contract on with the terms attached

A contract review often changes hands halfway through. The terms sit in one lawyer’s email thread and AI chat, so the next person checks the price, the deadline and the latest draft all over again.

## What gets handed off

- The current draft, as the original file, with a short description you can search by later

- The agreed terms as facts: price, signing date, notice period, who signs for each side

- What has been negotiated so far and what is still open

- The next step and the deadline, written as a short summary

Example: “Pass the draft to Rachel: price €12,400, sign by the 20th.”

## What the recipient gets

- A notification in their browser or on their phone: who sent it, which contract and by when

- A case with the summary, the facts (€12,400, sign by the 20th) and the draft

- The history of each fact: if the price changed from €12,000 to €12,400, both versions and who changed them are visible

- The option to accept, to return it with a reason (“the signed annex is missing”), or to mark it done

## Why it matters for legal teams

- **Time back on every review** One sentence to your assistant replaces the cover email, the search for the right version of the draft and the call to explain where the negotiation stands.

- **No term goes missing** Amounts and deadlines are versioned facts, and conflicting changes are flagged. If the signing date passes without a response, the handoff shows as overdue to both of you.

- **Confidential work stays confidential** A handoff to a person is seen only by the sender and the recipients. Put sensitive matters in a closed space, where only its members see the cases. The audit log records who did what, and admins can export it.

## Questions

### Who can see a contract I hand off?

Only you and the people you send it to. If you send it to a closed space, only that space’s members can see the case. Colle uses row-level security, so one company never sees another’s data.

### Is there a record of who changed the terms?

Yes. Every fact keeps its history, so you can see the old price, the new one and who recorded it. The audit log is tamper-evident (linked by a hash chain) and admins can export it.

### Where is the contract stored?

In the EU, in Frankfurt, on encrypted disks with daily backups. Colle does not use your content to train AI models, and a data processing agreement (DPA) is available on request.
